The UNICCS web sites are comprised of various web pages operated by UNICCS.
The UNICCS web sites are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the UNICCS web sites constitutes your agreement to all such terms, conditions, and notices.

NO UNLAWFUL OR PROHIBITED USE
As a condition of your use of the UNICCS web sites, you warrant to UNICCS that you will not use the UNICCS web sites for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the UNICCS web sites in any manner which could damage, disable, overburden, or impair the UNICCS web sites or interfere with any other party’s use and enjoyment of the UNICCS web sites. Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.
Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
Restrict or inhibit any other user from using and enjoying the Communication Services.
Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.

Violate any applicable laws or regulations.
UNICCS has no obligation to monitor the Communication Services. However, UNICCS reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. UNICCS reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.
UNICCS reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in UNICCS’s sole discretion.
Always use caution when giving out any personally identifying information about yourself and others in any Communication Service. UNICCS does not control or endorse the content, messages or information found in any Communication Service and, therefore, UNICCS specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized UNICCS spokespersons, and their views do not necessarily reflect those of UNICCS.
Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.
MATERIALS PROVIDED TO UNICCS OR POSTED AT ANY UNICCS WEB SITE
UNICCS does not claim ownership of the materials you provide to UNICCS (including feedback and suggestions) or post, upload, input or submit to any UNICCS web sites or its associated services (collectively “Submissions”). By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE UNICCS WEB SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. UNICCS AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE UNICCS WEB SITE AT ANY TIME. TERMINATION/ACCESS RESTRICTION
UNICCS reserves the right, in its sole discretion, to terminate or restrict your access to the UNICCS websites and other services, or any portion thereof, at any time, without notice. Additionally, UNICCS may terminate or restrict access to any services provided under the following conditions: UNICCS may terminate services provided to you, including access to the website and any other services, for cause with a 30-day written notice if you fail to pay any undisputed amounts owed when due, including any amounts owed under other agreements, contracts, or arrangements; you materially breach any term or condition of this agreement and fail to remedy the breach within 30 days of receiving notice; or you become insolvent, unable to pay debts when they are due, or enter into bankruptcy, insolvency, or similar proceedings. In such cases, any outstanding balance on your account becomes immediately due and payable within 30 days of the termination notice. Failure to settle the balance may result in legal action or further restrictions on access to services. The terms and conditions of this agreement will continue to govern any ongoing services during the notice period, and all fees related to such services must be paid in full. UNICCS reserves the right to terminate, suspend, or restrict access to any services, including but not limited to cloud services, software subscriptions, critical accounts (e.g., Microsoft 365 tenant), as well as all services provided by third parties that are purchased through UNICCS, until full payment has been received or your account has been brought into compliance. Any services suspended for non-payment will remain inactive until the account is remedied. To the maximum extent permitted by law, this agreement applies to all services provided by UNICCS and is governed by the laws of the Province of Ontario, Canada. You hereby consent to the exclusive jurisdiction and venue of the courts of Ontario, Canada, in all disputes arising out of or relating to the use of UNICCS websites and related services. Use of the UNICCS websites and provided services is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including, without limitation, this paragraph. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, the invalid or unenforceable provision will be replaced by a valid, enforceable provision that most closely matches the original intent, and the remainder of the agreement will continue in effect. This agreement applies to all business engagements between you and UNICCS with respect to access and use of the website, related services, and third-party services purchased through UNICCS. Unless explicitly specified in the Statement of Work (SOW) or service contracts, this agreement supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
